Attorney-Client Privilege
Communications between an attorney and client, made during professional consultation, are privileged from disclosure.
在提供（gòng）專業谘詢的過程（chéng）中，律師和客戶的交流是保密的。
NO.1
Confidential Communication
保密交流
The privilege applies to communication only and does not apply to underlying information, pre-existing documents, or physical evidence. To be protected, the communication must be confidential (meaning, not intended to be disclosed to third parties).
保密特權僅適用於交（jiāo）流的內容，不適用於背景信息、文件或物證。交流（liú）必須是保密的，即交流方無意圖披（pī）露給第三方。

Attorney-Client Relationship
委托關係
An “attorney” is a member of the bar, or someone the client believes to be a member of the bar, and includes an attorney’s agent, such as a paralegal or assistance.
A “client” includes a corporation and its representations, such as its officials or employees.
律師是律（lǜ）師協會會員，包括他的（de）代理人，如（rú）實習（xí）律師，律師助理。客戶包括公司以及公司的代表，如高（gāo）管（guǎn）或雇（gù）員（yuán）。

Professional Legal Consultation
專業法律（lǜ）谘詢
The primary purpose of the communication must be to obtain or render legal services, not to give business advice or social advice.
交流的主要目的必須是為了（le）獲取或者給與法律服務，而不是給（gěi）與商業建議或者社會建議。
NO.4
Privilege Applies Indefinitely
永久保密
It continues after the attorney-client relationship ends and even after the client’s death. The client’s estate representative has the power to waive the privilege after the client’s death. Disclosures made before the attorney accepts or declines the case are covered by the privilege.
保密（mì）持續至（zhì）委托關係結束，甚至至客戶死亡。客戶的遺產代理人在客戶死後有權放棄該特權（quán）。在律師接受或拒絕代理案件前的交（jiāo）流亦受（shòu）該特權的保護。
NO.5 Waiver 棄權
Undisclosed privileged material is subject to the waiver only if the waiver was intentional, the disclosed and undisclosed material concern the same subject matter, and the material should be considered together to avoid unfairness.
隻有在棄權是有意的，已披露的和未披（pī）露的材料（liào）共同（tóng）指向（xiàng）同一標（biāo）的，為（wéi）避免不公（gōng）正（zhèng），這（zhè）些材料必須要放（fàng）在一起考慮時，方視為放棄保密特權。
Exceptions 除外規（guī）定
There is no privilege:
Ø If the attorney’s services were sought to aid in the planning or commission of something the client should have know was a crime or fraud
Ø For a communication relevant to an issue of breach of duty in a dispute between the attorney and client
Ø Regarding a communication relevant to an issue between parties claiming through the same deceased client
以下情況不適用保密特權：
Ø 律師的服務（wù）是為了協助客戶計劃（huá）或實施犯罪或（huò）欺詐
Ø 律師與客戶之間產（chǎn）生的違約爭議
Ø 雙方通過同一已故客戶產（chǎn）生的爭議
《中華人民共和國（guó）律師法（fǎ）》
第三十八條 律師應當保守（shǒu）在執業活動中知悉的國家秘密、商業秘密，不得泄露當事人的（de）隱私。
律師對在執業活動中知（zhī）悉（xī）的委托人和其他人不願泄露（lù）的有關情況和信息，應當予以保密。但是，委托人或（huò）者其他人（rén）準（zhǔn）備或者正在實施危害國家安全、公共安全以及嚴重危害他人人身安全的犯罪事實和信（xìn）息除外。
